Five Adani Firms Settle SEBI Cases for ₹1.508 Crore

Five listed Adani Group companies have paid a combined ₹1.508 crore to settle Securities and Exchange Board of India proceedings concerning alleged disclosure, audit and corporate-governance violations. SEBI’s settlement order is dated September 22, 2026.

The Adani SEBI settlement covers Adani Enterprises, Adani Total Gas, AWL Agri Business, Adani Green Energy and Adani Energy Solutions. The companies resolved the proceedings without admitting or denying SEBI’s factual findings or legal conclusions.

Adani SEBI settlement covers five companies

Financial Express and The Indian Express reported that Adani Enterprises paid ₹76.05 lakh and Adani Green Energy paid ₹45.50 lakh. Adani Total Gas, AWL Agri Business and Adani Energy Solutions paid ₹9.75 lakh each.

Those amounts total ₹1.508 crore. Reuters initially described four Adani companies and a total payment of ₹15.1 million, while the two Indian Express Group reports list five companies. The detailed company-by-company amounts in the September 22 order, as reported by both Indian publications, support the five-company count used here.

The order disposes of these adjudication proceedings with immediate effect. It does not constitute a finding that the companies admitted wrongdoing, and it should not be read as resolving every regulatory question connected with the wider Hindenburg controversy.

What SEBI alleged

The proceedings followed SEBI’s examination of matters raised after Hindenburg Research published allegations concerning the Adani Group in January 2023. The group has denied Hindenburg’s broader allegations.

In this specific matter, SEBI alleged that related-party transactions between Adani Estates, a subsidiary of Adani Enterprises, and Vakoder Investment were not disclosed in Adani Enterprises’ annual report for the 2012–13 financial year as required by the applicable accounting standard.

Other allegations concerned audit and limited-review reports signed when the relevant audit firms did not hold valid peer-review certificates. The cited reports covered different periods for Adani Enterprises, Adani Total Gas, AWL Agri Business, Adani Green Energy and Adani Energy Solutions.

SEBI issued a show-cause notice to the five companies in February 2024. According to the reporting, revised settlement terms were submitted on May 29, 2026. SEBI’s High Powered Advisory Committee recommended the proposal in June, and a panel of whole-time members accepted it in August.

What the settlement does—and does not—resolve

The companies informed SEBI in early September that the settlement amounts had been paid, and the regulator confirmed receiving them. The order also preserves SEBI’s ability to restore or begin proceedings if representations are found to be untrue, undertakings are breached or discrepancies emerge in the calculation of settlement terms.

The settlement is separate from SEBI orders reported in September 2025 that dismissed certain allegations involving stock manipulation, unfair trading practices and some related-party transactions. It also does not automatically close other matters that may remain under examination.

For investors, the immediate development is limited but clear: a defined set of adjudication proceedings over disclosure and audit-compliance allegations has been settled through payments. Any conclusion about the group’s remaining regulatory exposure would require separate orders or disclosures.
