NSE IPO Clears Key SEBI Hurdle After Years of Delay

The National Stock Exchange has received regulatory clearance to advance its long-delayed initial public offering, removing a major obstacle that had held back the proposed listing for nearly a decade.

Reports published on September 4, 2026 said the Securities and Exchange Board of India issued its final observations, enabling NSE to move toward updated offer documents and a possible market debut later in September. The precise timetable and final valuation remain subject to the formal process.

What the NSE IPO clearance means

SEBI’s observations are an important procedural milestone, but they are not the same as a guarantee that the listing will occur on a particular day or at a particular price. NSE must complete documentation, disclose the final price band and follow the book-building and allotment process.

Reuters reported that the offer is expected to be an offer for sale by existing shareholders rather than a fresh issue of shares by the exchange. That means proceeds would go to selling shareholders, while NSE itself would not raise new capital from the shares sold in the transaction.

Possible scale of the offering

Financial Express reported that about 14.89 crore shares, close to 6% of NSE’s equity, may be offered. Estimates have placed the potential issue size near ₹30,000 crore, but that remains dependent on the final price and quantity offered.

Reuters said the exchange has been valued at about $55 billion in the unlisted market, while an indicated IPO valuation could be lower. Unlisted-market values are not official offer prices and can differ materially from the valuation established through book building.

Why the listing was delayed

NSE first pursued a public listing years ago, but regulatory investigations involving its co-location systems created a prolonged barrier. Earlier this week, the Supreme Court disposed of SEBI appeals involving NSE after the regulator agreed in principle to a settlement framework.

The exchange operates the Nifty 50 benchmark and is one of the world’s largest derivatives venues by contracts traded. Its dominant position is likely to make the offering closely watched by domestic and international investors.

What happens next

NSE is expected to file updated offer documents and announce confirmed selling shareholders, price band, dates and lot size. Until those documents are public, estimates about valuation and proceeds should be treated as provisional.

The clearance arrives during a busy period for Indian primary markets. A large NSE transaction could deepen investor attention but may also compete with other offerings for available capital.
